1. Acceptance of Terms

ReloadWP (reloadwp.com) is operated by XOCO WEB SRL (CUI 45465782, Registration No. J20/46/2022, EUID ROONRC.J20/46/2022), hereinafter referred to as "the Company," "we," "us," or "ReloadWP."

By accessing, registering for, or using our services, you expressly agree to these Terms in their entirety. If you do not agree, you may not use our services.

Use of the services constitutes full and unconditional acceptance of these Terms. By registering, you confirm that:

• You are at least 18 years of age and have full legal capacity; or
• You are acting on behalf of a legal entity as an authorised representative with full authority to bind that entity.

These Terms constitute a legally binding agreement between you and XOCO WEB SRL.

2. Description of Services

ReloadWP provides WordPress maintenance and care plan services on a subscription basis, including but not limited to: plugin and theme updates, security monitoring, uptime monitoring, performance monitoring, and managed backups. The exact scope of services is defined by the plan you select at the time of purchase.

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable prior notice. Modifications to service features do not entitle you to a refund of any fees already paid.

3. Commercial Results Disclaimer

We make no guarantees, representations, or warranties that using ReloadWP will result in improved website performance, increased revenue, better search engine rankings, or any other specific commercial outcome. Any examples or descriptions on our website are illustrative only and do not constitute a commitment to specific results.

4. Payment, Billing & No-Refund Policy

4.1 Billing

Services are billed on a monthly or annual basis, as selected at signup. Fees are due at the beginning of each billing period. You authorise us to charge your payment method automatically at each renewal unless you cancel in advance.

4.2 Strict No-Refund Policy

All fees paid to ReloadWP are strictly non-refundable. By purchasing any plan, you expressly acknowledge and agree that no refunds will be issued under any circumstances, including but not limited to: dissatisfaction with the service, partial use, early cancellation, or change of mind.

This no-refund policy applies to:

• Monthly subscription payments - each month's fee is non-refundable once the billing period begins.
• Annual subscription payments - the full annual fee is non-refundable once charged, regardless of when during the year you cancel.
• Any partial billing periods - no pro-rata refunds are issued.
• Upgrades or downgrades mid-cycle - no refunds for the difference in plan pricing.

The only exception to this policy is where a refund is expressly required by mandatory applicable Romanian or European Union consumer protection law that cannot be contractually waived. Even then, any such refund shall be limited to the minimum amount required by law.

By completing your purchase, you confirm you have read and understood this no-refund policy and agree to be bound by it.

4.3 Failed Payments & Suspension

Failure to pay any amount due may result in immediate suspension or termination of services without notice. You remain liable for all outstanding fees. Reinstatement of services following suspension for non-payment may be subject to a reinstatement fee.

4.4 Price Changes

We reserve the right to adjust pricing at any time. Active subscribers will be given at least 30 days' advance notice of any price increase. Continued use of the service after the notice period constitutes acceptance of the new pricing.

4.5 Payment Processing

Payments are processed securely through our payment provider. We do not store complete payment instrument data (e.g., full card numbers or CVV codes). You are responsible for ensuring your payment method remains valid throughout your subscription.

5. Service Delivery

ReloadWP is a service delivered entirely online. No physical products are shipped and no shipping costs apply. Access is provided through reloadwp.com following registration and payment confirmation. Activation typically occurs immediately; in exceptional circumstances, activation may take up to 24 hours.

6. Client Responsibilities

To enable us to deliver services effectively, you agree to:

• Provide accurate and complete information about your website and hosting environment.
• Grant necessary access credentials (WordPress admin, hosting panel, FTP/SFTP, etc.) when required and keep them up to date.
• Maintain a valid payment method for the duration of your subscription.
• Notify us promptly of any issues, access changes, or circumstances that may affect our ability to maintain your site.
• Keep independent backup copies of your website and data as a reasonable precaution alongside our service.
• Not interfere with, reverse-engineer, or attempt to bypass any aspect of our service infrastructure.

Failure to meet these responsibilities may affect our ability to deliver services, and we shall not be liable for any resulting failure or degraded performance. No refund will be issued in such circumstances.

7. Backups

Where included in your plan, we perform regular backups as part of our service. However, we cannot guarantee full restoration in all failure scenarios, including accidental deletion by the client, data corruption, or catastrophic hosting failures beyond our control.

You remain solely responsible for maintaining independent backup copies of your website content. Do not rely solely on our backups as your only data protection measure.

8. Acceptable Use

You agree not to use our services in connection with any website or activity that:

• Violates any applicable law or regulation.
• Distributes malware, malicious code, or engages in phishing, fraud, or deceptive practices.
• Infringes on the intellectual property or privacy rights of any third party.
• Engages in spam, unsolicited commercial communications, or abusive messaging.
• Defames, harasses, or discriminates against individuals or groups.
• Interferes with or disrupts our systems, infrastructure, or other clients' services.
• Facilitates illegal content, including but not limited to CSAM, illegal weapons, or controlled substances.

We reserve the right to suspend or terminate services immediately and without refund if we determine your usage violates any of these conditions, in our sole discretion.

9. Availability and Maintenance

We strive to keep the service available and operational at all times. However, we do not offer a guaranteed Service Level Agreement (SLA) or a specific uptime percentage. We do not issue credits, refunds, or compensation for downtime, interruptions, or performance degradation, except where required by applicable mandatory law.

We reserve the right to perform planned or emergency maintenance, which may temporarily affect service availability. We will make reasonable efforts to minimise disruption and provide advance notice where possible.

10. Force Majeure

We are not liable for failure or delay in fulfilling our obligations due to events beyond our reasonable control, including but not limited to: wars, acts of terrorism, natural disasters, pandemics, government actions or restrictions, major cyberattacks targeting third-party infrastructure, or widespread internet or cloud/hosting/CDN outages not caused by the Company. Affected obligations are suspended for the duration of such events. No refunds shall be issued for service periods affected by force majeure events.

11. Limitation of Liability

To the maximum extent permitted by applicable Romanian and European Union law, our total aggregate liability for any and all claims arising out of or related to these Terms or the service shall not exceed the total fees paid by you to ReloadWP in the 30 days immediately preceding the event giving rise to the claim (or zero, if the service was provided free of charge).

We are not liable for:

• Interruptions, data loss, or damages arising from third-party service failures (including hosting providers, CDNs, or email services).
• Force majeure events.
• Improper use of the service or failure by you to meet your client responsibilities under Section 6.
• Indirect, incidental, special, or consequential damages, including loss of profit, loss of data, or reputational harm, to the extent permitted by law.
• Any damage arising from a third-party breach of your website that occurred prior to or independent of our service engagement.

We do not guarantee uninterrupted service, the absence of errors, or compatibility with all software, plugins, themes, or hosting environments.

12. Indemnification

You agree to indemnify, defend, and hold harmless XOCO WEB SRL, its directors, employees, contractors, and service providers from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:

• Content you submit, publish, or store through our service.
• Your infringement of any third-party intellectual property, privacy, or other rights.
• Your violation of these Terms or any applicable law or regulation.
• Any misrepresentation you make in connection with the service.

This indemnification obligation survives the termination of your service relationship with us.

13. Intellectual Property

All content on the ReloadWP website - including text, design elements, logos, and software - is the property of XOCO WEB SRL or is used with permission. You may not reproduce, distribute, or use our content without prior written permission.

We make no claim of ownership over any content, code, or intellectual property on your website. You retain full rights to your own content.

14. Termination and Cancellation

14.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting us at hello@reloadwp.com. Cancellation takes effect at the end of your current paid billing period. No refund will be issued for any remaining days, weeks, or months in the current billing period, whether monthly or annual.

14.2 Termination by Us

We may terminate or suspend your account immediately and without notice in the event of:

• Non-payment or chargeback of any fees due.
• Violation of these Terms, including the Acceptable Use Policy.
• Conduct we deem harmful to our operations, reputation, infrastructure, or other clients.

In the event of termination for cause, no refund will be issued for any pre-paid fees.

14.3 Post-Termination

Upon termination or cancellation, we will provide you with access to any credentials or materials we hold on your behalf within 7 business days. We are not responsible for any data loss following account termination.

15. Changes to These Terms

We may update these Terms at any time. Changes will be published on this page with an updated date. For material changes, we will notify active clients by email or through a notice on the platform at least 14 days in advance. Continued use of our services after the effective date of changes constitutes your acceptance of the updated Terms.

If you do not agree with updated Terms, your sole remedy is to cancel your subscription before the changes take effect. No refunds will be issued in such cases beyond what is required by mandatory applicable law.

16. Governing Law and Disputes

These Terms are governed by the laws of Romania. Any disputes shall be submitted to the competent courts in Romania, subject to applicable mandatory EU consumer protection provisions.

Before initiating any formal legal proceedings, both parties agree to make a good-faith effort to resolve the dispute through direct negotiation for a period of at least 30 days from written notice of the dispute.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with any plan-specific terms presented at the time of purchase, constitute the entire agreement between you and XOCO WEB SRL with respect to the ReloadWP service and supersede all prior agreements, representations, and understandings of any kind.
